FEMA Compounding and Adjudication: Regularising Contraventions

Late submission fees for reporting delays, compounding applications to the Reserve Bank under the 2024 Rules, and defence of FEMA show cause notices and adjudication before the Enforcement Directorate.

Overview

Pick the cheapest route that legally closes the file.

A FEMA contravention can be closed in three ways. A reporting delay of up to three years is usually settled by paying a late submission fee through the bank. Most other contraventions can be compounded with the Reserve Bank under the Foreign Exchange (Compounding Proceedings) Rules, 2024, for an application fee of Rs 10,000 plus GST, with an order due within 180 days. Contraventions that are not compounded go to adjudication, where the penalty can reach three times the sum involved.

FAQ

FEMA compounding and adjudication, answered.

What is the difference between a late submission fee and compounding?
A late submission fee regularises a delay in reporting, such as a late FC-GPR, Form FC or APR, if paid within three years of the due date; it is computed by formula and paid through the bank. Compounding settles a contravention that is more than a reporting delay, or a delay beyond three years, by paying an amount fixed by the Reserve Bank after an application and hearing.
How much does FEMA compounding cost?
The application fee is Rs 10,000 plus GST under the Foreign Exchange (Compounding Proceedings) Rules, 2024. The compounding amount is fixed by the Reserve Bank using the matrix in its directions, as a fixed amount plus a variable element based on the sum involved and the period of contravention, and cannot exceed three times the sum involved.
How long does FEMA compounding take?
The compounding authority must pass its order within 180 days of a complete application. The amount must then be paid within 15 days of the order; if it is not, the contravention is treated as not compounded.
Which FEMA contraventions cannot be compounded?
Contraventions of section 3(a), which covers dealing in foreign exchange with unauthorised persons, cases with money laundering, terror financing or national security concerns, cases where the Enforcement Directorate objects, a similar contravention within three years of an earlier compounding, and transactions that still lack a required approval.
What is the penalty if a FEMA case is adjudicated?
Under section 13 of FEMA, up to three times the sum involved where it is quantifiable, or up to Rs 2 lakh where it is not, plus up to Rs 5,000 for every day the contravention continues. The Adjudicating Authority can also order confiscation of the currency or property involved.
Can a chartered accountant represent me in FEMA appeals?
Yes. Section 32 of FEMA allows an appellant before the Special Director (Appeals) or the Appellate Tribunal to appear in person or through a legal practitioner or chartered accountant.

Contraventions we see most

  • FC-GPR filed after 30 days of allotment, or FC-TRS after 60 days
  • Shares allotted more than 60 days after receipt of foreign investment, or money not refunded in time
  • Shares issued to non-residents below fair value
  • Overseas companies and US LLCs set up by residents without Form FC, or with APRs missed
  • Overseas investment funded by card payments, through friends abroad, or in kind
  • Export proceeds not realised or repatriated within the permitted period
  • Loans from non-residents that do not meet the external commercial borrowing rules

Before you apply to compound

  1. Complete the underlying compliance: file the overdue form, obtain the valuation, refund or allot. A contravention that is still continuing is not compounded.
  2. Collect bank certificates, board resolutions, audited accounts and a chronology.
  3. Confirm there is no Enforcement Directorate investigation pending on the same facts, and declare it if there is.
  4. Compute the likely amount with the Reserve Bank’s matrix, so the decision to apply is an informed one.
